Get Your Ticket - TERMS OF USE FOR EVENT ORGANISERS

These terms of use (the “EO Terms of Use”) and the Privacy Policy constitute an agreement between the event organisers (the “Event Organisers”) adhering to the services and using the platform of Get Your Tickets (“GYT”, “us”, “our”, “we”) and the owner and operator of GYT, Get Your Tickets Ltd Ltd, a company registered under the laws of Malta, bearing company registration number C110442, and having its registered office situated at St Georges Business Complex, 4th Floor, Triq Elija Zammit, San Giljan, STJ 3150, Malta.

These EO Terms of Use are applicable when you create and use an account and profile as an Event Organiser with GYT, when[BH1] you use our website, and/or when you use our back-office services as Event Organiser (collectively referred to as the “GYT Platform”). Please read these EO Terms of Use very carefully. Should you not agree with any of these EO Terms of Use, you should not adhere to and/or use the GYT Platform.

For the avoidance of any doubt these EO Terms of Use are only applicable to Event Organisers and are not applicable to GYT users.

1. ABOUT THE SERVICES

GYT is a platform that allows its users (the “Users”) to acquire tickets of certain events organised by the Event Organisers, primarily through the use of its own proprietary websites, tools, platforms and services (“GYT Service/s”).

Event Organisers have the possibility to create their business profile on GYT and include all their business information therein for the GYT Users to find, consult and avail from the GYT Services. Event Organisers shall have their own personal account and credentials thereof in order to be able to upload and access their information and amend and update such information as necessary (the “Business Profile”).

1.1 CREATION OF BUSINESS PROFILE

Event Organisers may create their own Business Profile through the GYT Platform and have access to a the so called “back-office” provide all necessary details and information in relation to their events, including the logo, cover image, prices and description.

Event Organisers have full control over the information and content displayed on the GYT Platform. Through the Business Profile and their credentials they may amend and update the content as necessary at any time. They may also monitor ticket sales in real time and assign runners who will also have restricted access to the back office to track sales.

Without prejudice to the above, Event Organisers may also contact GYT’s administrator via email at info@getyourtickets.shop for any assistance they may require in order to amend or update the content published on the GYT Platform.

Notwithstanding the above, GYT shall have the right to remove and/or amend any information, picture, image and/or any other content that may be found to be illegal, inappropriate, or that may create in any manner any prejudice to the reputation of GYT, or may be found, at the sole discretion of GYT, to constitute a breach of any terms and conditions that GYT would have entered into with any third parties, including but without limitations GooglePlay and/or any other app stores.

Event Organisers hereby undertake to provide truthful, lawful and accurate information on their business and their events and to upload only truthful, lawful and accurate content on the GYT Platform.

2. ACCEPTANCE AND MODIFICATION OF THE EO TERMS OF USE

Event Organisers declare and acknowledge to have fully read and understood these EO Terms of Use. Furthermore, by using any of the Services offered by GYT, Event Organisers unconditionally accept to be bound by these EO Terms of Use.

GYT reserves the right to amend these EO Terms of Use at any time, in whole or in part. It is therefore the Event Organiser’s responsibility to regularly consult the latest version of the EO Terms of Use posted on the GYT website. Event Organisers are deemed to accept this latest version upon each new use of the GYT Platform.

By accessing or using the GYT Platform in any way, the Event Organiser agrees to be bound by these Terms of Use.

3. FEES AND TERMS OF PAYMENT

The GYT Platform operates on a commission-based model, whereby a 10% booking fee paid by the customer purchasing the ticket is retained (the “Booking Fee”) and a fee in the amount of €0.75 is charged to the Event Organiser for each ticket sold (“Platform Commission”). These fees cover the use of the GYT Platform, marketing exposure, and transaction processing, ensuring a seamless and efficient ticketing experience for both Event Organisers and Users.

Terms and Process of payment:

All proceeds from the sale of the tickets (the “Proceeds”) are processed and collected directly by GYT Platform;
Event Organizers receive the Proceeds less the Booking Fee, less the Commission after the event, with payouts typically made on the 7th day of the following month after the event.

4. REFUND POLICIES

The Event Organisers hereby agrees and acknowledge that in the event of an event cancellation by Event Organiser for whatever reason, Users will receive a full refund of the ticket price.

However, the Booking Fee retained by the GYT Platform is non-refundable. The Event Organisers hereby declare and agree that they will have no claim whatsoever on the Booking Fee or part thereof and that this Booking Fee is and shall in any event be collected for the benefit of GYT.

In the event that an event is postponed, refunds shall be subject to the respective Event Organiser's policy. If the Event Organiser allows refunds for a rescheduled event, the conditions describe hereabove shall apply, i.e. the User will receive a refund of the ticket price, while the Booking Fee shall be retained by GYT.

5. PERMITTED USES

Event Organisers may use the GYT Platform to promote their business and sell tickets in relation to their events. As a condition of the use of the GYT Platform, Event Organisers agree that the Event Organiser:

Is an individual person at least 18 years of age, or a legally existing entity lawfully represented by its directors;
Possesses the authority to create a binding legal obligation;
Will use GYT Platform at all times in compliance with these EO Terms of Use;
Shall safeguard his/her password and supervise the use of his/her account, and understand and agree that she/she is the sole responsible for the use of such account by anyone that he/she may have allowed access to. GYT shall in no way be held responsible or liable for any unauthorised use of Event Organiser’s account;
Have the right to provide, update, delete and/or otherwise dispose of any and all information he/she submits to the GYT Platform;
Declares that all information provided to and/or uploaded on the GYT Platform is lawful, accurate, true, current and complete;
Declares that the event that they are promoting at any point in time is an existing event and all its contents are true and accurate.

6. AVAILABILITY OF THE GYT PLATFORM

GYT reserves the right to suspend, delete or modify all or part of the GYT Platform or the Services without prior notice. GYT also reserves the right to suspend access to the GYT Platform for all or any Event Organiser and/or User due to maintenance, emergency (cyberattack, etc.) or for any other justifiable reason and at any time. While GYT uses reasonable efforts to keep the GYT Platform and your account accessible, the GYT Platform and/or your account may be unavailable from time to time. You understand and agree that there may be interruptions in service or events, GYT Platform access, or access to your account due to circumstances both within our control (e.g., routine maintenance) and/or outside of our control. GYT retains the right at GYT’s sole discretion to deny service, or access to the GYT Platform to anyone or an account, at any time and for any reason.

7. WARRANTIES AND REPRESENTATIONS OF EVENT ORGANISERS

By creating a Business Profile and adhering to these EO Terms of Use, Event Organisers hereby undertake and warrant that the Event Organiser shall:

understand and follow the applicable laws, including but without limitation to privacy and data protection laws.
in the event that the Event Organiser provides GYT with someone else’s personal information, Event Organiser: (i) shall do so in compliance with applicable law, (ii) shall be authorised to do so, and (iii) shall authorise GYT to process that information under GYT’s Privacy Policy.
read and follow all GYT’s Terms of Use, policies and standards.
not use the name, logo, branding, or trademarks of GYT or others without permission.
not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with the GYT branding.
act with integrity and treat others with respect, not lie, misrepresent something or someone, or pretend to be someone else.
Be polite and respectful when they communicate or interact with others.
not scrape, hack, reverse engineer, compromise or impair the GYT Platform
not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the GYT Platform.
not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the GYT Platform or content.
not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the GYT Platform.
not take any action that could damage or adversely affect the performance or proper functioning of the GYT Platform.
only use the GYT Platform as authorised by these EO Terms of Use.
not use the GYT Platform, and any information contained therein, including personal information of the Users to send commercial messages without the recipient’s express consent.
may use information and/or content made available through the GYT Platform solely as necessary to enable the use of the GYT Platform as an Event Organiser.
not use GYT’s content unless Event Organisers have permission from the administrator or the use is authorised by these EO Terms of Use.
not use, copy, display, mirror or frame the GYT Platform, any content, any branding, or any page layout or design without the express written consent of GYT.

Event Organisers warrant that they are fully familiar with the features and limitations of the internet. In particular, they acknowledge that it is impossible to guarantee that the data sent by Event Organisers over the internet will be fully secure. GYT cannot be held responsible for any incidents which could arise from this transmission of data.

Event Organisers agree to indemnify GYT against any liability, damage, expense, claim or cost, incurred by GYT arising from any claim or dispute, in or out of court, in relation with the use of the services of GYT, including the posting of content by Event Organiser or Users on GYT Platform.

In any case, Event Organisers explicitly acknowledge and agree to use GYT Platform and Services at their own risk and under their sole responsibility.

8. TERM, TERMINATION AND SUSPENSION

The EO Terms of Use will continue in effect until terminated by either party in accordance with the terms set out in this Section. GYT may terminate this agreement, at any time for any reason, upon written notice to the Event Organiser. The Event Organiser may terminate this agreement upon fifteen (15) business days prior written notice to GYT.

Termination of these EO Terms of Use will not in any way affect the Event Organiser’s obligation to honour the tickets that were already sold to the Users or honour any other obligations with respect to refunds in the case of a cancellation of an event.

Provisions in these EO Terms of Use that are intended to survive termination will continue in full force and effect after termination.

If the Event Organiser breaches any of these EO Terms of Use, GYT’s policies or if Event Organiser violates any applicable laws, regulations, or third-party rights, or GYT believes it is reasonably necessary to protect GYT, its Users, or third parties, GYT may, with or without prior notice suspend or limit Event Organiser’s access to or use of the GYT Platform and/or Event Organiser’s account and/or suspend or remove any content form the Event Organiser’s Business Profile.

For minor violations or where otherwise appropriate as GYT determines in its sole discretion, Event Organisers will be given notice of any intended measure by GYT and an opportunity to resolve the issue.

9. INTELLECTUAL PROPERTY RIGHTS

The Event Organiser acknowledges and agrees that GYT owns all interest in and to the website and all the features thereof, user data, GYT trade names, logos, trademarks, service marks, domain names, social media identifiers, all data collected through or from the website, all audiovisual content, video recordings, audio recordings, photographs, graphics, artwork, text or any other content created by GYT or at GYT’s direction, or assigned to GYT, and any materials, software, technology or tools used or provided by GYT to promote, sell/resell (as may be applicable) or distribute the Event Organisers offering and conduct its business in connection therewith (collectively the “GYT IP”). Event Organiser shall not use, sell, rent, lease, sublicense, distribute, broadcast, transmit, stream, place shift, transfer, copy, reproduce, download, time shift, display, perform, modify or timeshare the GYT IP or any portion thereof, or use such GYT IP as a component of or a base for products or services prepared for commercial use, sale, sublicense, lease, access or distribution. This notwithstanding, GYT shall grant the Event Organiser a limited, non-exclusive, revocable, non-transferable, non-sub licensable license, during the validity of these EO Terms of Use, to use GYT’s Platform on a mobile computer, tablet computer, or other device, solely for the purposes permitted by the GYT Platform.

The Event Organiser shall keep the GYT IP confidential, and shall not prepare any derivative work based on the GYT IP or translate, reverse engineer, decompile or disassemble the GYT IP. Event Organiser shall not take any action to challenge or object to the validity of GYT’s rights in the GYT IP or GYT’s ownership or registration thereof.

Except as specifically provided in these EO Terms of Use, the Event Organiser and any third party assisting the Event Organiser with its obligations, shall not use GYT IP in any medium without prior written approval from GYT. Event Organiser shall not include any GYT IP, or any variant or misspelling thereof, in any trademark, domain name, email address, social network identifier, metadata or search engine keyword. Event Organiser shall not use or display any GYT IP in a manner that could reasonably imply an endorsement, relationship, affiliation with, or sponsorship between the Event Organiser or a third party and GYT. All rights to the GYT IP not expressly granted in these EO Terms of Use are reserved by GYT.

The Event Organiser grants to GYT a non-exclusive, worldwide, royalty free, paid-up, perpetual, irrevocable, transferable and sub-licensable license and right to use, modify, reproduce, sublicense, publicly display, distribute, broadcast, transmit, stream, publish and publicly perform name, logos, trademarks, service marks, domain names, and any audiovisual content, video recordings, audio recordings, photographs, graphics, artwork, text and any other content provided, specified, recommended, directed, authorised or approved to use by the Event Organiser either owned by the Event Organisers (collectively, the “BO IP”) or owned by any third party (collectively, the “Third Party IP”), in each case in connection with the promotion, sale/resale (as may be applicable) or distribution of the Event Organiser’s offering in all media or formats now known or hereinafter developed (“License”).

Event Organiser hereby confirms that they have obtained all necessary permits and clearance from any third parties in relation to the transmission and use of Third Party IP by GYT. Event Organisers hereby undertake to indemnify and hold GYT harmless of any liability, damage, expense, claim, cost or losses, incurred by GYT, that may arise as a result of the use by GYT of any Third Party IP under the direction of the Event Organiser.

10. CONTENTS PUBLISHED BY THE EVENT ORGANISER

Event Organisers have the possibility to publish certain contents, such as description of their events, images, audio, video content and any other content relevant to their business, on the GYT Platform and share such contents for Users to consult. The publishing of such content is subject to certain rules to be followed by the Event Organiser whose content shall be rejected, deleted, or otherwise modified for the following reasons:

if GYT believes that its civil or criminal liability may be engaged.
if the content or the elements relating to the identity of the author contain insults or vulgarities.
if the text of the content contains random characters or word sequences with no meaning.
if the content is or is suspected of being a breach of third parties’ intellectual property rights.
if the review raises issues of conflict of interest or fraud, or if GYT believes that it does amount to such conflict or fraud.
if the text of the content is badly written to the point of being impossible to understand or read.
if an Event Organiser makes an inappropriate comment about another Event Organiser or their business.
if the content contains personal information or elements likely to lead to identity theft.
if the content is clearly spam.

11. LIMITATIONS OF LIABILITY

As permitted by applicable law, in no event shall GYT, its affiliates or any of their respective employees, officers, directors, agents, merchants, partners, third-party content providers or licensors, or any of their officers, directors, employees, or agents, be liable for any damages, direct or indirect loss of profits or loss of business, indirect, incidental, special, consequential, or punitive damages arising out of, related to, or in connection with any of the following:

Event Organiser’s use of the GYT Platform, the content, user content, including, without limitation, any personal information, and any other information either contained in the GYT Platform or submitted by Event Organisers to the GYT Platform.
Event Organiser’s inability to use the GYT Platform.
modification or removal of content submitted on the GYT Platform.
the Event Organisers offerings, products, and other available programs accessible or available through the GYT Platform;
these EO Terms of Use; or
any improper use of information you provide to the GYT Platform, including, without limitation, any personal information.

GYT does not warrant uninterrupted access to GYT Platform or service continuity. GYT shall not be liable for any failure to access the GYT Platform or for any damage or loss arising out of the use or inability to use the GYT Platform or its content, except as provided by law.

GYT does not warrant that the information displayed is detailed, complete, verified or accurate. Any content on GYT Platform is provided without any express or implied warranties of any kind whatsoever.

12. FORCE MAJEURE

GYT shall be excused from performance under these EO Terms of Use, to the extent it or an Event Organiser is prevented or delayed from performing, in whole or in part, as a result of an event or series of events caused by or resulting from:

weather conditions or other elements of nature or acts of God.
acts of war, acts of terrorism, insurrection, riots, civil disorders, or rebellion.
quarantines or embargoes.
Pandemics.
labour strikes.
error or disruption to major computer hardware or networks or software failures.
other causes beyond the reasonable control of GYT or Event Organisers, as applicable.

13. ASSIGNMENT

Users may not assign these EO Terms of Use, or any rights, benefits, or obligations hereunder, by operation of law or otherwise, without the express written permission of GYT. Any attempted assignment that does not comply with these EO Terms of Use shall be null and void. GYT may assign these EO Terms of Use, in whole or in part, to any third-party in its sole discretion.

14. ENTIRE AGREEMENT

These EO Terms of Use, including, without limitation, the incorporated Privacy Notice, and other terms incorporated by reference, constitute the entire agreement and understanding between the Event Organiser and GYT with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the Event Organiser and GYT with respect to such subject matter.

15. WAIVERS

No waiver by any of the parties of any condition nor of the breach of any term, covenant, warranty or undertaking contained in these EO Terms of Use, whether by conduct or otherwise, in any one or more instances shall be deemed to be or construed as a further or continuing waiver of any such condition or breach or a waiver of any other condition or deemed to be or construed as the waiver of breach of any other term, covenant, warranty or undertaking in these EO Terms of Use.

16. SEVERABILITY

If at any time any one or more of these EO Terms of Use becomes invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions of these EO Terms of Use shall not, in so far as legally permissible under applicable laws, be in any way affected or impaired thereby.

17. GOVERNING LAW AND JURISDICTION

These EO Terms of Use shall be governed by and construed in accordance with the Laws of Malta.

Any dispute, controversy or claim arising out of or relating thereto, or the breach, termination or invalidity thereof, shall be decided before the Courts of Malta.
